Fairfax Financial Holdings set a $5.6 billion price tag for a 60.72% stake in IDBI Bank, a move that is expected to close in the first quarter of 2027—subject to RBI, SEBI and IRDA approvals. The deal values the stake at ₹52,878 crore and is financed with a mix of $2.3 billion in holding‑company cash, $2.3 billion of investments, a $1.9 billion sale of half its Poseidon position, and an anticipated $900 million from the Eurolife divestiture, with additional $3 billion contributions from Go Digit Insurance and IIFL Capital.
Prem Watsa and President Peter Clarke said the funding plan will not involve long‑term debt, preserving Fairfax’s leverage ratios. The group’s average annual earnings over the past three years were about $4.3 billion, with excess capital from its insurance operations earmarked for the transaction.
IDBI Bank’s financials add nuance: it earned ₹9,320 crore in the 12 months ended June 2026, after recovering from cumulative losses of $6.4 billion between 2016 and 2020. The bank’s turnaround under MD Rakesh Sharma and the proposed appointment of former ICICI Prudential CEO NS Kannan as chairman underscore Fairfax’s intent to stabilize and grow the lender.
Fairfax’s stake in CSB Bank remains on the table; the company has two years to decide between a sale or a merger with IDBI. CSB’s book value grew 24% annually since 2018, with net advances up 20% and deposits up 15%, a growth trajectory that could make a merge attractive. Fairfax has also retained a 13% holding in IIFL Finance, with future actions to be disclosed later.
The next steps hinge on regulatory clearance. Fairfax will seek RBI approval for the IDBI board changes, SEBI clearance for the acquisition of the government and LIC stake, and IRDA consent for contributions from insurance entities. If cleared, the transaction could reshape Fairfax’s portfolio and reinforce its presence in the Indian banking sector while maintaining a debt‑free balance sheet.
