Elon Musk Announces $3.5 Trillion SpaceX‑Tesla Merger

Elon Musk unveiled plans to merge SpaceX and Tesla into a single entity worth about $3.5 trillion during a Tuesday briefing with analysts in the United States. He said the combination would centralise control over AI chips, energy storage and connectivity, a move that could reshape the tech and automotive landscapes.

SpaceX, founded in 2002, recently went public and now commands a market cap of roughly $2 trillion, while Tesla sits near $1.5 trillion. Musk owns 82% of SpaceX’s voting power but only 20% of Tesla’s, meaning a shareholder vote is decisive. Analysts estimate a 90% chance of the merger by early 2027, but the deal hinges on Tesla stockholders approving the plan.

Both firms are incorporated in Texas, where a Texas judge requires fraud or intentional misconduct to block a deal, according to law professor Ann Lipton. Musk argues the corporate structure will ease approvals, yet SpaceX’s dependence on NASA and Pentagon contracts and Tesla’s Chinese manufacturing base raise national‑security concerns that could trigger federal scrutiny.

Industry observers note that synergies may be modest, but control of AI infrastructure could give the merged company a strategic edge. Florian Frischmuth of Envorso highlighted the potential for supply‑chain cost reductions, while Garrett Nelson of CFRA Research cautioned that the merger’s valuation might be inflated.

Musk stressed the plan remains tentative, citing the need for majority shareholder support. He tweeted, "Live by the sword, die by the sword," in response to Democratic investigations ahead of the midterms. The next step is a shareholder vote scheduled for March 2027.
