Carlsberg A/S is days away from making its India exit strategy public. The Danish brewer is preparing to file confidentially for an initial public offering of Carlsberg India, aiming to raise up to $700 million as early as this week, according to sources familiar with the matter. The filing is expected to be entirely a secondary sale, meaning existing shareholders—Carlsberg—will offload stakes rather than the company taking on new capital.
If the timeline holds, investor roadshows kick off next week, with a potential launch in December. The deal is being structured by Kotak Mahindra Capital, alongside the Indian arms of JPMorgan Chase and Citigroup. Carlsberg first submitted draft documents to regulators back in July, but details like the final size and timing remain fluid as deliberations continue. A Carlsberg representative did not immediately respond to a request for comment.
The timing is deliberate. India’s IPO window has cracked open after a sluggish first half. Companies have already raised $14.4 billion through first-time listings this year, putting 2026 on track to break last year’s record of $22 billion. The momentum is visible in recent deals; Jio Platforms’ $3.2 billion offering, for instance, was fully subscribed within hours of opening for bids on Wednesday. That kind of velocity makes a secondary sale attractive for a parent looking to optimize its capital structure.
Carlsberg India is not a small player. It entered the market in 2007 and now commands a 22% share, operating seven breweries across the country. That scale provides a solid floor for valuation, though investors will be watching the regulatory environment closely. The company recently faced friction in Rajasthan, where a local court ordered a shutdown of one of its breweries over pollution violations. That operational headwind, combined with the secondary nature of the deal, will likely shape how the market prices the risk.
For now, the market is watching the filing. If the $700 million target holds, it would be one of the larger secondary listings in the current cycle. With roadshows starting next week, the next few days will reveal the true appetite for Carlsberg’s Indian business.
