Zen Technologies said its board approved a ₹135.15 crore investment to acquire a majority stake in Cogknit Semantics Pvt Ltd, a Bengaluru‑based defence tech company. The deal consists of a subscription to Cogknit's primary funding round and the purchase of existing shares. Investor Ashish Kacholia and his associates will also contribute to the primary round, according to the press release.
Cogknit won the iDEX challenge to build a battlefield management system (BMS) for main battle tanks and received the Raksha Mantri's Award for Innovation. The BMS digitally connects tanks, vehicles and soldiers, enabling commanders to access a single real‑time battlefield picture. Field trials with the Indian Army have already been completed.
Zen's acquisition aligns with its Samvid AI platform, which aims to deliver shared battlefield awareness. Cogknit's BMS will add a command‑and‑control layer that meshes with Zen's training simulators, counter‑drone systems, drones and autonomous platforms. The stock, however, slid 2.7% to ₹1,648.9 after the announcement, a 2.3% dip in the last month but a 21.6% year‑to‑date gain.
The transaction is contingent on customary closing conditions; once completed, Cogknit will become a subsidiary while its founding team remains at the helm. Analysts are watching for potential synergies and the impact on Zen's defense portfolio, especially as the sector sees increased government investment. Zen is expected to report its Q4 results next quarter, which could reflect the integration benefits of the new asset.
