The deal was signed on September 28 and is slated for completion on or after September 29, 2026, according to the exchange filing.
The agreement covers 36,68,036 equity shares of ₹10 face value each, acquired from Sudarshan Europe B.V., a wholly‑owned subsidiary of Sudarshan Chemical. The transaction value of ₹150,75,62,796 represents 15.89% of Colorants’ total share capital, giving Sudarshan Chemical a foothold in the colorants segment.
This move is part of a larger strategy to secure 70.26% of Sudarshan Colorants’ shares, combining holdings from Sudarshan Europe B.V., Sudarshan Switzerland HLD1 AG and Sudarshan Switzerland HLD2 AG. The consolidation aims to streamline operations and leverage synergies across the pigment supply chain.
Earlier this year, the company sold its 100% stake in VP4 Frankfurt GmbH to Celanese for €76.5 million, sharpening focus on core pigment business. The sale, executed by Sudarshan Germany Horizons GmbH, was announced on August 31 and is expected to close after customary conditions.
Analysts note that the acquisition could bolster Sudarshan Chemical’s margin profile, but the immediate share dip suggests market participants are pricing in integration risk. The company has not issued new guidance yet; investors will watch for Q3 earnings to gauge the financial impact of the expanded colorants portfolio.
