The US expansion plan is officially dead. ideaForge Technology Ltd announced on Friday that its wholly owned US subsidiary, ideaForge Technology Inc., has terminated its joint venture agreement with First Breach Inc. The deal didn’t make it past the long-stop date, and the two parties mutually agreed to walk away.
The original agreement, signed on September 23, 2025, was set up to create First Forge Technology Inc. The goal was to handle licensing, sourcing, and manufacturing of unmanned aerial vehicles in the US market. But because the closing never happened, no shares were issued and no capital contribution was made.
The termination was executed on October 23, 2026. Both sides have irrevocably released and waived all claims against each other. Importantly, the non-compete and non-solicitation obligations from the original contract are dead. So neither party can legally strangle the other’s future market moves in this specific context.
ideaForge stressed that this termination won’t impact the management or control of the listed entity. It’s not a related-party transaction, either. For investors, the clean break means no lingering legal baggage or financial entanglement with First Breach.
The market reaction was immediate and negative. Shares of ideaForge Technology Ltd ended the day at ₹646.65 on the BSE, down ₹32.90 or 4.84%. It’s a sharp drop, but the stock had nearly doubled in 2026 following a board-approved ₹500 crore fundraise. The long-term trajectory still hinges on their domestic drone projects, like the ₹151 crore YETI project with the Technology Development Board.
