Tesla shares climbed 6% on Tuesday after SpaceX’s earnings call hinted at merger committees—price movement spurred a rally across the tech sector.
Bloomberg’s latest estimate now places a $110B upside on Musk’s net worth if the merger accelerates Tesla share vesting, a figure that dwarfs the current $1.5T market cap.
Musk’s 304‑million option grant, part of a 2025 compensation plan, is currently valued over $110B but remains unvested until January 2028. The deal could trigger immediate vesting under a change‑in‑control clause, bypassing the original performance milestones.
Jason Schloetzer, Georgetown University professor, cautioned that such a clause would activate only if Tesla’s shareholders fall below 50% voting power—a scenario that could unfold if SpaceX’s valuation edge is cemented.
Market analysts are watching the committees closely, noting that a valuation that maximises Musk’s payout will also need to satisfy investor confidence and regulatory scrutiny.
Tesla and SpaceX are expected to file detailed merger proposals by the end of Q3, after which board approval and SEC disclosures will follow, setting the stage for next‑month earnings releases.
