SEBI has pushed the cut‑off for adjusting IPO issue sizes to March 31, 2027, extending the 50‑per‑cent flexibility that had been in place until September 30, 2026.
The decision follows AIBI’s complaint that the earlier rule forced issuers to file fresh drafts when tweaking issue sizes, a process that was costly and time‑consuming.
In the July‑September quarter, 69 mainboard IPOs mobilised ₹90,482 crore and 92 SME issues raised ₹4,167 crore, totalling ₹94,649 crore. The new framework allows issuers to up or downsize by up to 50 % provided the core objectives remain unchanged.
Under the revised regime, lead managers must file an updated offer document, amend the DRHP, and publish an addendum. AIBI Chairman Mahavir Lunawat said the change reduces procedural hurdles while safeguarding transparency and investor protection.
Analysts predict the extension could spur more mid‑size IPOs, potentially boosting the overall capital‑market pipeline. SEBI has signalled no immediate changes to valuation or pricing guidelines, focusing on process simplification.
