Persistent Systems’ board announced a qualified institutional placement (QIP) that can raise up to ₹4,265 crore, setting a floor price of ₹5,550 per share – a 5.25% discount to Wednesday’s closing price. The move will dilute 4.9% of the company’s pre‑issue equity base, as outlined in the filing to BSE and NSE.
The QIP comes a week after the firm reported Q2 results that saw revenue exceed analyst expectations, yet operating margins fell short and profit after tax dipped due to the Nagarro acquisition impact, according to the company’s post‑earnings presentation.
Persistent Systems has been advancing its $1.45 billion acquisition of Nagarro SE, refinancing the initial bridge through a mix of rupee debt and the QIP. By September, the company had secured 83.25% of Nagarro’s shares, reaching 94.04% by early October, positioning it to close the deal in Q4 2026 or Q1 2027 pending RBI and EU approvals.
At 10:50 am Thursday, the stock traded at ₹5,826 – down 0.6% from the prior close. The share price has risen 8.6% over the past month, easing a 7.3% year‑to‑date decline, as investors weighed the dilution against the potential upside of the Nagarro deal.
Analysts expect the capital raised to reinforce Persistent Systems’ balance sheet ahead of the Nagarro transaction and to support future growth initiatives. The company will disclose guidance for the next quarter on its upcoming earnings release, likely to weigh on valuation sentiment as the QIP unfolds.
