Sagility BV, the Dutch parent of the Mumbai‑based healthcare services firm, is set to dispose of 12 % of its shares through a block transaction valued at ₹2,377 crore. The deal, reported in the latest filing, will see shares traded at a floor price of ₹42.45 each, a slight discount to the Thursday close.
At the time of deal announcement, Sagility shares were down 1.4% on the NSE, closing at ₹44.66. The floor price represents a discount of up to 4.9% to that level, underscoring a cautious market tone.
Under the agreement, Sagility BV will face a 365‑day lock‑up on any residual holdings after the sale, a clause that could tighten liquidity for the next year.
The block sale follows a wave of institutional activity, most notably a November 2025 move where Sagility BV sold 76.9 crore shares at an average of ₹47.60 on the NSE, supported by buyers such as Unifi Capital and Morgan Stanley Asia Singapore.
Sagility’s shares have corrected over 14% in 2026, trading at a price‑to‑earnings ratio of 20.33, slightly above the sector average of 18.7. The latest stake off‑load may test the stock’s valuation resilience amid the broader market volatility.
Analysts note that the forthcoming lock‑up could dampen short‑term trading activity, while the 12 % dilution might recalibrate investor expectations. The next earnings call is slated for May 2027, where management is expected to discuss post‑deal capital structure and potential use of proceeds.
