Aegis Logistics shares slipped 3.99% to ₹1,392 on the BSE after the company revealed it would pay $809 million for an 89.8% stake in Tristar Holdings.
Tristar reported FY 2025 consolidated revenue of $1.401 billion, up 14% YoY, with EBITDA of $257 million and net profit of $82 million, compared with $1.22 billion revenue in 2024.
The transaction will be carried out by Aegis Logistics International Pte Ltd and includes contingent payments and interest on deferred consideration; it is subject to antitrust clearance and is slated to close in Q4 of FY 2026‑27, according to the board memo.
Market analysts note the purchase price values Tristar at roughly 4.8× EBITDA, slightly above the sector median of 4.5×, indicating a modest premium over the company’s recent share price.
In parallel, Aegis approved a ₹6,000 crore capital raise and lifted its borrowing limit to the same figure, signalling readiness to fund the expansion; the raise could take the form of equity, NCDs, or preferential issues.
The acquisition is projected to lift Aegis’ gross margin from 17% to 19% over the next two years, a figure highlighted in the company’s guidance, and investors will monitor the FY 2026‑27 earnings release for synergy realization.
